Terms of Service

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) and possess the legal capacity to form a binding contract under applicable laws to register an account and use the Services.

You may not use the Services if you have previously been suspended or banned by AspireDev, or if you are prohibited from receiving the Services under applicable laws and regulations. By accessing or using the Services, you represent and warrant that you satisfy all eligibility requirements.

2.1 Creating and Safeguarding Your Account

To access the management features of AspireFit, you must register an account ("Account") with accurate, current, and complete information, including your legal name, business contact information, and facility details. You agree to promptly update your Account information whenever changes occur.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that take place under your Account. You must immediately notify us at support@aspirefit.in if you suspect any unauthorized access, loss, or security compromise of your Account. AspireDev is not liable for any losses or damages resulting from unauthorized account usage.

2.2 Subscription Payments

Access to paid tiers and premium modules of the Services requires an active paid subscription. You agree to pay all applicable subscription fees, hardware integration fees, and applicable taxes (such as GST or other statutory levies) in the designated currency.

We reserve the right to modify our subscription plans or adjust pricing for the Services. Any price revisions will take effect only after reasonable prior written notice (via email or in-app notification), giving you the opportunity to cancel your subscription prior to the effective date of the new pricing.

2.3 Payment Provider Terms

We utilize certified third-party payment service providers (including Stripe and authorized payment gateways) to process payments on our behalf ("Payment Service Providers"). When you purchase a subscription or process member payments through the Platform, your billing information is provided directly to our Payment Service Provider.

You agree to be bound by the respective terms of service and privacy notices of our Payment Service Providers and authorize AspireDev to share relevant transaction data necessary to complete payment processing, prevent fraudulent transactions, and handle settlements.

2.4 Subscription Renewals and Cancellations

Unless specified otherwise during sign-up, your subscription will automatically renew at the end of each billing cycle (monthly or annual) at the then-current subscription rates. Your designated payment method will be charged automatically on each renewal date.

You may cancel your subscription at any time through your Account settings or by contacting our support team at support@aspirefit.in. To prevent charges for the subsequent billing cycle, you must cancel your subscription prior to the renewal date.

2.5 No Subscription Refunds

Except where mandatory consumer protection laws require otherwise or as explicitly agreed in writing, all subscription payments are non-refundable, and we do not provide credits or partial refunds for unused periods or downgraded plans. Following any cancellation, you will retain access to your paid Services through the conclusion of your current prepaid billing cycle. 2.6 Free Trials and Demos

From time to time, we may offer trial accounts or product demonstrations for paid features. Trial periods run for the timeframe specified upon registration. If your trial account is scheduled to convert automatically into a paid subscription, you authorize us to charge your payment method upon trial completion unless cancelled prior to expiry.

2.7 Promotional Codes

Promotional codes, referral discounts, or partner vouchers must be used lawfully, for their intended purpose, and in accordance with their designated terms. Promotional codes have no cash value, may not be transferred or resold, and may expire or be discontinued at our sole discretion.

Our handling of personal data, account credentials, and platform analytics is governed by our Privacy Policy. For details regarding our deployment of cookies, local storage, and tracking preferences, please refer to our Cookie Policy. Subscription cancellations, billing adjustments, and qualifying refunds are governed by our Refund Policy. All policies are integrated into and form part of these Terms.

4.1 Limited License to Use Services

Subject to your ongoing compliance with these Terms and timely payment of applicable fees, AspireDev grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the AspireFit platform solely for your internal gym, studio, or fitness facility management purposes.

4.2 Restrictions On Your Use

You agree not to do any of the following while using the Services:

• Duplicate, decompile, reverse engineer, disassemble, or decode any part of the Platform or its underlying software algorithms.
• Sublicense, sell, lease, rent, redistribute, or commercially exploit the Platform for any purpose not expressly authorized by AspireDev.
• Use automated scrapers, bots, crawlers, or data-extraction tools to monitor, harvest, or copy information from the Services without our prior written consent.
• Remove, obscure, or alter any copyright, trademark, or proprietary notices displayed on or within the Services.
• Introduce viruses, trojans, worms, logic bombs, or other technologically harmful material into our infrastructure.
• Interfere with, overburden, disrupt, or impair the integrity, performance, or security of the Services or connected hardware integrations.
• Use the Services to transmit unsolicited commercial emails, bulk messaging (spam), or unlawful communications in violation of applicable telecommunications laws.
• Impersonate any person or entity, or falsely misrepresent your affiliation with AspireFit or AspireDev.
• Use the Platform to build a competitive product, benchmark service, or fitness software solution.

4.3 Beta Offerings

We may occasionally provide access to experimental, preview, or beta features ("Beta Offerings"). Beta Offerings are provided strictly on an "as is" and "as available" basis, may contain software bugs, and may be modified or discontinued at any time without liability.

5.1 Ownership of the Services

The Services, including their visual design, branding, software codebase, databases, user interface, graphics, and documentation, are the exclusive property of AspireDev and its licensors. All rights not expressly granted to you in these Terms are reserved by AspireDev.

5.2 Ownership of Trademarks

"AspireFit", "AspireDev", their respective wordmarks, logotypes, and associated product slogans are proprietary trademarks of AspireDev. You may not use these marks without our express prior written authorization.

5.3 Customer and Member Data

As a facility operator, you retain full ownership and control of all member records, client details, attendance logs, and operational data that you upload, enter, or manage through the Platform ("Customer Data").

You grant AspireDev a worldwide, royalty-free license to host, store, process, reproduce, and display Customer Data solely to the extent necessary to provide, maintain, secure, and improve the Services on your behalf.

You represent and warrant that you possess all necessary legal rights, consents, and authorizations to collect, process, and input Customer Data (including member contact details and biometric records) into the Platform, in full compliance with applicable data protection statutes (such as the Digital Personal Data Protection Act and GDPR, where applicable).

5.4 Ownership of Feedback

We welcome your suggestions, ideas, and feedback regarding AspireFit ("Feedback"). You agree that AspireDev will own all right, title, and interest in any Feedback you provide, and we may freely use, incorporate, and commercialize such Feedback without any attribution, compensation, or accounting to you.

6.1 Biometric Devices and Hardware

The Platform facilitates integration with third-party biometric attendance machines and access control hardware (such as supported ESSL, Timmy, or ZKTeco devices). AspireDev does not manufacture hardware and is not liable for device physical failures, local network drops, power interruptions, or manufacturer firmware defects that impact attendance synchronization.

6.2 External Services

The Services may incorporate links to third-party tools, payment gateways, messaging services (such as WhatsApp APIs), or external resources. We do not endorse, oversee, or assume responsibility for the availability, terms, or privacy practices of any third-party platforms. Your engagement with external services is at your own risk.

7.1 Disclaimers

Important Warranty Disclaimers:

Your access to and use of the Services are at your sole risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

AspireDev does not warrant that the Services will be uninterrupted, error-free, completely secure, or free of viruses or other harmful code, or that any attendance, revenue, or member reports will be 100% accurate at all times without human verification.

7.2 Limitations of Liability

To the maximum extent permitted by applicable law, in no event shall AspireDev, its directors, officers, employees, affiliates, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenues, data, goodwill, or business interruption, arising out of or related to your use of or inability to use the Services, however caused and under any theory of liability.

In no event shall AspireDev's total aggregate liability to you for all claims arising out of or relating to these Terms or the Services exceed the total amount actually paid by you to AspireDev for the Services during the six (6) months immediately preceding the event giving rise to liability, or ₹5,000 INR (whichever is greater).

7.3 Indemnification

You agree to defend, indemnify, and hold harmless AspireDev, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your misuse of the Services; (c) your Customer Data, including any member privacy, consent, or billing disputes between you and your gym members; or (d) your violation of applicable laws or third-party rights.

8.1 Informal Resolution First

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services, both parties agree to first attempt in good faith to resolve the dispute informally by contacting the other party in writing. You agree to email notice of your dispute to legal@aspirefit.in. Both parties agree to allow a period of thirty (30) days from receipt of notice before initiating formal proceedings.

8.2 Governing Law & Jurisdiction

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the substantive laws of India, without regard to its conflict of law principles.

Subject to Section 8.1, you and AspireDev irrevocably agree that the courts located in Hyderabad, Telangana, India shall have exclusive jurisdiction to settle any disputes or claims arising out of or in connection with these Terms or the Services.

9.1 Updating These Terms

We may update these Terms periodically. When changes occur, we will revise the "Last revised" date at the top of this page and post the revised Terms on the Services. For material modifications, we will provide advance notification through your Account email or an in-platform announcement. Continued use of the Services after revisions become effective constitutes acceptance of the amended Terms.

9.2 Termination & Suspension

We reserve the right to suspend or terminate your Account or access to the Services at any time, with or without prior notice, if you breach these Terms, fail to pay subscription fees, or engage in activity that could harm AspireDev, other users, or third parties.

Upon termination, your right to access the Services immediately ceases. We will provide a thirty (30) day grace period from termination upon written request to export your Customer Data, after which we may securely delete Customer Data in accordance with our data retention schedules.

9.3 Severability and Assignment

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. AspireDev may freely assign or transfer these Terms in connection with a corporate reorganization, merger, acquisition, or sale of assets.

9.4 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any written order forms or subscription agreements, constitute the entire agreement between you and AspireDev regarding your access to and use of the Services.
